These Terms and Conditions govern your use of the website cpipl.ltd and the services provided by Color Papers India Private Limited. By accessing our website or using our services, you agree to these terms.
1. Services
Color Papers India Private Limited provides import/export logistics services, marketplace seller support, warehousing, fulfillment, customs clearance, technology-driven marketplace management tools, and related services. Our technology platform integrates with third-party marketplace APIs (including Amazon Selling Partner API) to provide automated order management, repricing, inventory synchronization, analytics, tax invoice generation, and tax calculation and remittance services. All services are subject to applicable Indian and international trade laws and tax regulations.
2. Eligibility
Our services are available to individuals and businesses that are legally permitted to engage in import/export activities in India. You must provide valid identification, GST registration (where applicable), and IEC (Import Export Code) as required.
3. Orders & Payments
- All quotes are valid for 7 days unless stated otherwise
- Payment terms will be specified in individual service agreements
- Prices are subject to change based on exchange rates, duties, and shipping costs
- All applicable customs duties, GST, and taxes are the responsibility of the client unless explicitly included in the quote
4. Shipping & Delivery
- Delivery timelines are estimates and may vary due to customs, weather, or logistics factors
- We are not liable for delays caused by customs authorities or force majeure events
- Risk of loss transfers to the buyer upon delivery to the specified address
- Shipment tracking information will be provided for all orders
5. Customs & Compliance
We assist with customs documentation and clearance, but the accuracy of product declarations and compliance with import/export regulations remains the client's responsibility. We reserve the right to refuse shipments that may violate any laws.
6. Marketplace API & Data Usage
When using our marketplace management services that integrate with third-party APIs (including Amazon SP-API):
- You authorize us to access your marketplace seller account data through official APIs for the purpose of providing our services, including tax invoice generation and tax remittance
- All marketplace data is handled in strict compliance with the respective marketplace's developer agreements and data protection policies
- Customer Personally Identifiable Information (PII) obtained through marketplace APIs is used solely for order fulfillment and customer service
- We do not sell, rent, or share marketplace customer data with unauthorized third parties
- You must comply with all applicable marketplace policies while using our services
- Data handling is governed by our Privacy Policy, Data Protection Policy, and Acceptable Use Policy
7. Data Protection Obligations
Both parties acknowledge their respective obligations under applicable data protection laws including India's Digital Personal Data Protection Act, 2023 (DPDP Act), the Information Technology Act, 2000, and GDPR where applicable. 8. Limitation of Liability
Color Papers India Private Limited's liability for any claim related to our services shall not exceed the service fees paid for that specific transaction. We are not liable for indirect, consequential, or incidental damages.
9. Prohibited Items
We do not handle the import or export of prohibited goods including but not limited to: illegal substances, weapons, counterfeit products, hazardous materials (unless specifically authorized), or items banned by Indian customs regulations.
10. Intellectual Property
All content on this website, including text, graphics, logos, and design, is the property of Color Papers India Private Limited and is protected by Indian copyright and intellectual property laws.
11. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of business. This includes but is not limited to: marketplace account credentials, API tokens, customer data, business strategies, and pricing information. Confidentiality obligations survive termination of services.
12. Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through arbitration in Mumbai, Maharashtra, in accordance with the Arbitration and Conciliation Act, 1996. The laws of India shall govern these terms.
